Overview

Welcome to Codemix. These Terms of Service ("Terms") govern your use of Codemix and form a legally binding agreement between you and Codemix Ltd.

By accessing or using Codemix, you agree to these Terms. If you use Codemix on behalf of a company or other organisation, you agree to these Terms for that organisation and confirm that you have authority to bind it.

2. Using Codemix

Codemix is a collaborative platform for modelling product systems and generating AI-assisted outputs, workflows, and related artifacts.

You may use Codemix only in compliance with these Terms and applicable laws.

We may update, improve, or modify the Service from time to time, including adding or removing features.


3. Accounts and Organisations

You are responsible for your account, keeping your credentials secure, and all activity that occurs under your account.

If you use Codemix on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

Organisations may manage access, billing, credits, permissions, and integrations for users within their workspace.


4. Credits and Billing

Codemix may operate on a credit-based model.

  • Credits may be provided through subscriptions, one-off purchases, promotions, or administrative allocations.
  • Credits may expire, including at the end of a billing cycle or after a stated validity period.
  • Some accounts may be able to enable automatic top-ups.

If credits are exhausted, a subscription lapses, or a payment fails, we may restrict access to some features, including placing an account or organisation into read-only mode until the issue is resolved.

Unless required by law, payments are non-refundable.


5. Acceptable Use

You must not:

  • use Codemix unlawfully or in violation of applicable regulations;
  • upload, submit, or process content that you do not have rights to use;
  • use Codemix to create, distribute, or facilitate harmful, fraudulent, deceptive, or malicious content or software;
  • interfere with, disrupt, probe, or reverse engineer the Service except to the extent such restriction is prohibited by law.

We may investigate suspected misuse and suspend or terminate access where appropriate.


6. AI Features and Outputs

Codemix may use AI and automated systems to generate outputs, suggestions, workflows, tickets, prompts, documentation, or other artifacts.

You acknowledge and agree that:

  • outputs may be inaccurate, incomplete, or unsuitable for your intended use;
  • outputs may not be unique and may resemble outputs generated for other users;
  • you are responsible for reviewing, validating, and approving outputs before relying on them.

Codemix does not guarantee that generated outputs are error-free, legally compliant, secure, or fit for any particular purpose.


7. Your Content

7.1 Ownership

You retain ownership of your content. Codemix does not claim ownership of the content you upload, submit, or create within the Service.

7.2 Licence to Codemix

You grant Codemix a non-exclusive, worldwide, limited licence to host, store, reproduce, process, transmit, display, and otherwise use your content solely as necessary to operate, provide, secure, maintain, support, and improve the Service, and to generate outputs and artifacts requested by you or your organisation.

7.3 Your Rights to Use Content

You represent and warrant that:

  • you own or control all rights necessary to upload, submit, process, and use your content in Codemix;
  • your content, and your use of it within Codemix, does not infringe the intellectual property, confidentiality, privacy, data protection, or other rights of any third party; and
  • you have obtained all necessary consents, permissions, and authorisations required for your content.

You must not upload confidential, proprietary, personal, regulated, or third-party content unless you are authorised to do so.

Codemix is not responsible for independently verifying whether you have the right to use any content you upload.

7.4 Service Records and Audit Logs

We may create and retain service records such as logs, billing records, workflow records, generated artifacts, configuration history, and audit data for security, billing, support, legal, and compliance purposes. Some records may be maintained in immutable form to preserve audit integrity.


8. Confidentiality

We will treat your non-public content as confidential and will not disclose it to third parties except:

  • as necessary to provide the Service;
  • to our subprocessors and service providers subject to appropriate obligations;
  • where you instruct or authorise us to do so; or
  • where required by law, court order, or regulatory obligation.

We will use reasonable technical and organisational safeguards designed to protect your content.


9. Privacy and Data Protection

Our Privacy Policy explains how we process personal data. If you use Codemix to process personal data, you are responsible for ensuring that you have a lawful basis for doing so and that your use of the Service complies with applicable data protection law.

Where required, our Data Processing Agreement applies to processing carried out on your behalf.


10. Third-Party Services and Integrations

Codemix may integrate with third-party services such as source control platforms, issue trackers, communication tools, hosting providers, and payment providers.

We are not responsible for third-party services, including their availability, security, content, or data practices. Your use of third-party services is governed by their own terms and policies.


11. Availability and Changes

Codemix is provided on an "as is" and "as available" basis.

We do not guarantee uninterrupted availability, error-free operation, or that the Service will always meet your requirements. We may perform maintenance, deploy updates, or change functionality from time to time.


12. Suspension and Termination

We may suspend, restrict, or terminate your access to Codemix if:

  • you breach these Terms;
  • payment is overdue or fails;
  • your use creates security, legal, or operational risk; or
  • we are required to do so by law.

You may stop using Codemix at any time. Upon termination, your right to use the Service ends immediately, but provisions that by their nature should survive termination will continue to apply.


13. Intellectual Property in Codemix

Codemix and all related software, branding, designs, documentation, interfaces, and other materials provided by us are owned by or licensed to Codemix Ltd and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to use the Service.


14. Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

To the fullest extent permitted by law:

  • Codemix is not liable for any indirect, incidental, special, consequential, or punitive loss, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings;
  • Codemix is not responsible for loss arising from your use of AI-generated outputs without appropriate review and validation; and
  • Codemix’s total aggregate liability arising out of or in connection with the Service and these Terms will not exceed the total amount paid by you to Codemix in the 12 months immediately preceding the event giving rise to the claim.

15. Indemnity

You agree to indemnify and hold harmless Codemix, its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • your content;
  • your use of the Service;
  • your breach of these Terms; or
  • any claim that your content infringes or misappropriates the rights of a third party or was uploaded, processed, or used without proper authorisation.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated version on our website and update the "Last updated" date above. Your continued use of Codemix after the updated Terms take effect means you accept the revised Terms.


17. Governing Law

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except where applicable law provides otherwise.
